REGULAR MEETING
OF THE
CITY COUNCIL
September~22, 1981
Pursuant to due call and notice thereof a regular meeting of the City Council of
the City of Mound, Hennepin County, Minnesota, was held at 5341Maywood Road in
said City on.September 22, 1981, at 7:30 P.M.
Thos~present were: Mayor Rock Lindlan, Councilmembers Pinky Charon, Gordon
Swenson and Donald Ulrick. Councilmember Robert Polston was'absent and excused.
Also present were City Manager, Jori Elam, Building Inspector, Henry Truelsen,
Secretary, Fran Clark and the following'interested citizens: Abbott and
C~laire Frank, Sherry Bryd, Mrs. Ben Anderson, Gary M. Paulsen, Nancy O'B~ian,
Richard C. Haley, Sally J. Armitage, Dan Christianson, Jim Stello, Maruel
Johnson, Ronald Johnson, Michael Duffy, Jim McGee, Bob Smestad, Keith Kullberg.
The Mayor opened the meeting and welcomed the people in attendance.
MINUTES
The Minutes of the September 8~ 1981, meeting were presented for consideration.
Swenson moved to approve the minutes of September 8, '1981 With the following
corrections:
Under ASSESSMENT HEARING - 1980 STREET IMPROVEMENT - That he voted nay to
changing the date of the hearing from September 23, 1981, to September 30,
1981, for the additional 2 reasons:
1. Because it was not fair to .the residents who where already planning
on the September 23, 1981, date.
2. Because'School. Superintendent and members of the Council are
playing politics.with the September 29, 1981 School Referendum.Vote.
Charon~seconded the motion to approve the minutes of September 8, 1981, as
corrected. The vote was 3 in favor with Councilmember Ulrick voting nay.
Motion passed.
The Minutes of the September 9, 1981, Budget Meeting were presented for
consideration. Charon moved and Swenson seconded a mot,ion ~o approve the
minutes of. Septemberig, 1981, Special Budget Meeting, as.submitted. The vote
was unanimous, ly in favor.' Motion passed.
The Minutes of the September 10, 1981, Budget Meeting were presented for
consi'~eration. Ulrick moved to approve the Minutes of September 10, 1981,
Special Budget Meeting, as submitted. Councilmember Swenson wanted the
minutes to reflect that the meeting was adjourmed and reconvened to handle
the Lassek Fence item. After~some~discussion between the Councilmembers,
Councilmember Ulrick agreed ~to amend his motion to read: approve the
Special Budget Meeting Minutes of September lO, i~81, with the following
correction. That the Minutes reflect that the meeting was adjourned and
reconvened to handle the Lassek Fence item.. Charon seconded this motion.
The vote was unanimously in favor. Motion passed.
ADDITION TO THE AGENDA
Councilmember Ulrick asked to add and Item #16 - Road Construction to the
Agenda.
PUBLIC HEARING ON ASSESSMENT OF UNPAID TREE REMOVAL CHARGES
The Mayor opened the Public Hearing.

The City Manager read the 1 letter he has received regarding unpaid tree
removal charges. The letter from Mr. James McGee, 4~15 Monmouth Road,
Mound, Minnesota, PID #24~117-24 41 0104, indicated that he did not feel
responsible for paying for the removal of a tree on his property that
the city's contractors did substantial root damage to during the
Public Improvement Project. He feels the tree d!ied due to construction
trama to it's roots and that approximately 45 da!ys after the damage
the tree inspector alleged the tree had DutchiEl!m disease. No lab anaiysis
was made prior to construction or after the t~ee~ inspectlon. The tree
was dead when the inspection was made. Therefore, he felt ~h~'~t~ee
removal should be charged against the i979 Street Project.~

The City Manager said Mr. McGee did receive the shade tree grant for 'this
tree. He also noted that there is no way to Prove, at this point, ~hether
the tree died because of road construction orlDutch Elm Disease. The
City Manager stated that for all other peoplelon the 1. ist there is
documentation that the trees were diseased. All people on the list were
notified that unless the tree or trees were removed within 10 days of
their receiving this notice, the City has theiauthority to come in and
remove the tree or trees and assess the costsrto the property owner.
Mr.'McGee was present and stated that he did ~eceive this notice and
contacted Mr.~yle Swanson of McCombs-Knutson~and was told that Mr. Swanson
would.take care of ~the problem. ~ .~

NOTICE OF HEARING ON PROPOSED ASSESSMENT
CBD PARKING MAINTENANCE - 1981
TO WHOM IT MAY CONCERN
September 14, 1981
NOTICE IS HEREBY GIVEN that the City Council will meet at 7:30 o'clock p.m. on
September 29, 1981 at the Mound City Hall, 5341Maywood Road to pass upon the
proposed assessments. The general nature of the improvements and the areas to
be assessed are as follows:
CENTRAL BUSINESS DISTRICT PARKING MAINTENANCE - 1981 - Area within the
following boundaries proposed to be assessed:
Belmont Lane on the East
North of Lynwood Boulevard to Tonkawood Road
700 feet West of Commerce Boulevard
700 feet South of Shoreline Boulevard
Total Cost to be Assessed
$10,549.36
The proposed assessments for the above are on file fo~ public inspection at the
City Office. Written or oral objections w~ll be considered at the hearing.
An owner may appeal an assessment to district court Pursuant to Minnesota
Statutes Section 429.O81 by serving notice of the appeal upon the Mayor or
City Clerk-Treasurer within 30 days after the adoption of the assessment and
filing such notice with the district court within ten days after service upon
the Mayor or City Clerk-Treasurer.
No such appeal as to the amount of an assessment as to a specific parcel of
land may be made unless the owner has either filed a signed written objection
to that assessment with the City Clerk-Treasurer prior to the hearing or has
presented the written objection to the presiding officer at the hearing.

Dear Councilmembers:
We are currently planning our fall and winter work program and would appreciate
an indication that we may be invited to conduct the 1981 audit of the City as
we have in past years.
We would perform an audit of the combined balance sheet of the City as of
December 31, 1981 and the related combined financial statements for the year
then ended. The audit would be performed in accordance with the procedures
established by the State Auditor and the American Institute of Certified Public
Accountants. These procedures are compatible with the pronouncements of the
National Council on Governmental Accounting.
The audit which we would perform would include tests, rather than a detailed
examination, of all transactions and, therefore, it should not be considered
that irregularities, if any, will necessarily be disclosed. However, they may
be disclosed as the result of one or more of our audit procedures.
As in previous years, we plan to do as much work before the year end ms possible
so that we may present our report at an early date.
We estimate the cost of such an audit will not exceed a range of $7,000 to $7,500.
Should our time be less than anticipated, our fee would be reduced accordingly.
We have enjoyed our relationship with the City during the past years and hope
that we may be allowed to conduct the 1981 audit.

COUNTY, MINNESOTA.
An ordinance granting the Minnesota Gas Company, a Delaware corporation, its
successors and assigns, a nonexclusive franchise to construct, operate, repair
and maintain facilities and equipment for the transportation, distribution, manu-
facture and sale of gas energy for public and private use and to use the streets~
alleys, public ways and public grounds of the of
, Minnesota for such purposes; and prescribing certain terms
and conditions thereof.
THE COUNCIL OF THE OF
ORDAIN AS FOLLOWS:
DOES
SECTION 1. DEFINITIONS. The following terms shall mean:
1.1. COMPANY. The Minnesota Gas Company, a Delaware corporation,
its successors and assigns.
1.2. GAS. Natural gas, manufactured gas, a mixture of natural gas
and manufactured gas or other forms of gas energy.
1.3. MUNICIPALITY, MUNICIPAL COUNCIL, MUNICIPAL CLERK.

SECTION 2. GRANT OF FRANCHISE. There is hereby granted to the Company,
for a period of 25 years, the right to import, manufacture, transport, distribute
and sell gas energy for public and private use in the Municipality, and for these
purposes ~o construct, operate, repair and maintain in, on, over, under and
across the streets, alleys, public ways and public grounds of the Municipality,
all facilities and equipment used in connection therewith, and to do all ~ings
which are necessary or customary in the accomplishment of these objectives,
subject to the provisions of this franchise.
2.1. EFFECTIVE DATE; WRITTEN ACCEPTANCE. This Franchise
shall be in force and effect from and after its passage and publication as required
by law and its acceptance in writing by the Company filed with the Municipal Clerk.
The Company shall, if it accepts this Franchise and the rights hereby granted,
file a written acceptance with the Municipal Clerk within 60 days after publication.
2.2. NONEXCLUSIVE FRANCHISE. This is not an exclusive franchise.
SECTION 3. CONDITIONS OF STREET USE.
3.1. USE OF STREETS. All utility facilities and equipment of the
Company shall be located, constructed, installed and maintained as not to endanger
or unnecessarily interfere with the usual and customary traffic and travel upon
the streets, alleys, public ways and public grounds of the Municipality.
3.2. RESTORATION OF STREETS. The Company shall, upon completion
of any work requiring an opening, restore the street, alley, public way or public
ground to the same condition as before the opening was made, insofar as reasonably
possible.
3.3. RELOCATION OF UTILITY FACILITIES. The Company shall
relocate its facilities or equipment at its own expense whenever the Municipality
in the proper exercise of its police power shall grade, regrade, change the line
or otherwise improve any street, alley, public way or public ground or construct
or reconstruct any sewer or water system therein and shall, with due regard to
seasonal working conditions, order the Company to relocate permanently its
facilities or equipment located in said street, alley, public way or public ground.
The Municipality shall give the Company reasonable notice of plans requiring
such relocation.
3.4. RELOCATION WHEN STREETS VACATED. The Municipality
may not order the Company to relocate any of its facilities or equipment when
a street, alley, public way or public ground is vacated unless the reasonable
cost of such relocation and the loss and expense resulting from such relocation
are first paid to the Company.
SECTION 4. INDEMNIFICATION. The Company shall indemnify and hold
harmless the Municipality, its officers, employees and agents from all liability
on account of injury to persons or damage to property caused by the Company's
consr~ruction, maintenance, repair or operations in the Municipality, unless such
injury or damage is the result of the negligence of the Municipality, its officers,
employees or agent~.
SECTION 5. TERMINATION OF FRANCHISE. If the Company is in default
in the performance of any material part of this Franchise for more than 90 days
after receiving written notice from the Municipality of such default, the Municipal
Council may, by ordinance duly passed and adopted, terminate all rights granted
hereunder to the Company. The notice of default shall be in writing and specify
the provision of this Franchise under which the default is claimed and state the

bases therefore upon all material issues relative to such default. Such notice
shall be served on the Company by personally delivering it to an officer thereof
at its principal place of business. The reasonableness of any ordinance declaring
a termination of the rights and privilege granted by this franchise, shall be
subject to judicial review by a court of competent jurisdiction.
SECTION 6. PUBLICATION EXPENSE. The expense of publication of this
franchise ordinance shall be paid by the Company.
SECTION 7. ORDINANCES REPEALED. Ail other ordinances or portions of
ordinances inconsistent herewith are hereby repealed.
SECTION 8. ASSIGNMENT. The Company upon notice to the Municipality shall
have full right and authority to assign all rights conferred upon it by this franchise
ordinance to any person, persons, firm or corporation. The assignee of such
rights, by accepting such assignment, shall become subject to the te~,,s and
provisions of this ordinance.
SECTION 9. CHANGE IN FORM OF GOVERNMENT. Any change in the fox-m of
government of the Municipality shall not affect the validity of this Franchise.
Any governmental unit succeeding the Municipality shall, without the consent of
the Company, automatically succeed to all of the rights and obligations of the
Municipality provided in this Franchise.

ADDITIONAL SERVICES. MCC agree~ ')rovide for all eligib'le employees an ini-
tial orientation and brochures ex ng the services. MCC agrees to periodi-
cally provide to the EMPLOYER b~o:hures aimed at maintaining employee awareness.
MCC agrees to periodically provi !:to the EMPLOYER a statistical report regarding
utilization of the services.
EMPLOYER RESPONSIBILITIES. To asSUre adequate acceptability and utilization of
these diagnostic and referral se~J;ces, the EMPLOYER agrees to participate in
program exposure and employee edUCation of the services available. Mailings to
employees shall be the expense O~j~:he EMPLOYER. The EMPLOYER agrees to provide
a list of names of employees co~e~dunder this program, said list shall be up-
dated quarterly. The EMPLOYER agrees to provide MCC with a copy of its current
hospitalization and health insum~¢e policies which are relevant.
FEES. The base retainer fee forll ~agreement period is $287.00. The base
.retainer fee is based upon the ployee rate of $7.00+++ times 41 employees.
The base retainer fee will covem l]!l diagnostic and referral services up to a
3.00% annual utilization.
The utilization fee will be bil i!for each one percent or portion~hereof
increase in the utilization abc that covered in the base retainer fee, in
accordance with tl:e following ri jlner schedule.
